Bylaws of the Collin County Republican Party

Article I: NAME

The name of this organization shall be the Collin County Republican Party Executive Committee (hereinafter referred to as the Executive Committee).

Article II: MISSION STATEMENT

The Mission of the Executive Committee is to develop and sustain a countywide organization through which the Republican Party of Texas (hereinafter referred to as the Party) can identify, recruit, and support Republican candidates to be elected to offices at local, state, and federal levels and to support the principles of the Party as exemplified by the Party Platform.

Article III: THE EXECUTIVE COMMITTEE

Section 1: The Executive Committee shall be composed of the County Chairman and the Precinct Chairman elected in each voting precinct in the Republican Primary Election in Collin County or appointed by the Executive Committee to fill a vacancy. The County Chairman and each Precinct Chairman shall be elected biennially as provided by the Texas Election Code (hereinafter referred to as the Code). (171.022)

Section 2: The purpose of the Executive Committee shall be:

To exercise those powers conferred upon it by the Code, the Party Rules, these Bylaws and any Standing Rules adopted hereunder.
To establish general policy of the Party in Collin County.
Cooperate with the Party in carrying out programs that support Republican candidates and principles advocated by the Party.

Section 3: The Executive Committee shall fill vacancies in the office of County Chairman and Precinct Chairman, as provided by the Code. (171.024, 171.025)

Article IV: OFFICERS OF THE EXECUTIVE COMMITTEE

Section 1: The County Chairman shall appoint the following officers, subject to ratification by the Executive Committee by a majority vote of those present and voting, a quorum being present: First Vice Chairman, Second Vice Chairman, one Secretary, one Treasurer, and a maximum of three (3) additional Vice Chairmen.

Section 2: As a minimum, appointments for First Vice Chairman, Second Vice Chairman, Secretary, and Treasurer shall be made at the first meeting of the newly elected Executive Committee, but in no case shall the appointments be delayed beyond thirty (30) calendar days of election of the County Chairman. All appointed officers must have voted in the last Republican Primary. The appointed officers need not be members of the Executive Committee.

Section 3: The appointed officers shall perform the duties prescribed to them by these Bylaws and any Standing Rules adopted hereunder, the Code, the Parliamentary Authority adopted by the Party and such other duties as may be designated by the County Chairman or the Executive Committee.

Section 4: The term of office of the County Chairman shall be as provided in the Code. (171.022) The appointed officers shall serve at the pleasure of the County Chairman. In the event of a vacancy in the office of County Chairman, the persons holding appointed positions shall serve only until the election of a new County Chairman.

Article V: MEETINGS OF THE EXECUTIVE COMMITTEE

Section 1: The Executive Committee shall meet as often as is necessary to complete its mission, including at such times as required by the Code. (172.082, 172.116) It shall meet at the call of the County Chairman or upon written petition of twenty-five percent (25%) of the Executive Committee members. (RPT Rule 8c) Notice of any meeting shall be sent by surface or electronic mail to all members of the Executive Committee no less than ten (10) calendar days prior to the meeting. The postmark date of the notice shall be the effective date thereof.

Section 2: At other than statutory Executive Committee meetings, a quorum shall consist of not less than one-fourth (1/4) of membership, excluding vacancies, at the time of the meeting call. (RPT Rule 9a) At statutory meetings, a quorum shall consist of those members present; provided however that if the quorum provided above for other than statutory meetings is not present, then only such business as is called for by the Code may be transacted. (RPT Rule 9b)

Article VI: COLLIN COUNTY REPUBLICAN PARTY FINANCIAL REVIEW

The Financial Review Committee shall make a formal disclosure to the Executive Committee of the financial records of the Collin County Republican Party in accordance with the Standing Rules.

Article VII: STANDING AND TEMPORARY COMMITTEES

Section 1: The County Chairman shall appoint the Standing Committees as he deems necessary to carry out policies of the Party. The Standing Committees shall develop plans and implement actions as directed by the County Chairman.

Section 2: The Standing Committees shall be: Rules; Finance; Budget; and Financial Review.

Section 3: The County Chairman may appoint Temporary Committees as he deems necessary to carry out the policies of the Party.

Section 4: The County Chairman shall appoint the Chairman of each Standing Committee and Temporary Committee, and he shall serve at the pleasure of the County Chairman. The County Chairman shall be an ex-officio member of all Committees.

Section 5: Each Standing Committee and Temporary Committee shall meet at the call of the County Chairman or the Chairman of that particular Committee.

Article VIII: STATE HOUSE DISTRICT EXECUTIVE COMMITTEE

Section 1: A State House District Executive Committee shall be established for every State House District (hereinafter referred to as the District) in accordance with the Standing Rules.

Section 2: The District Executive Committee for each District shall meet at the call of the County Chairman or the Chairman of that particular District.

Article IX: PARLIAMENTARY AUTHORITY

The rules contained in the most current edition of Robert’s Rules of Order Newly Revised shall govern the Executive Committee, the Standing Committees and the Temporary Committees unless those rules are inconsistent with the Code, the Party Rules, or these Bylaws and the Standing Rules thereunder.

Article X: AMENDMENT OF THE BYLAWS

These Bylaws may be amended by a two-thirds (2/3) vote of the members of the Executive Committee present and voting at any Executive Committee meeting at which a quorum is present. Notification of the proposed amendments must be given by mailing (surface or electronic) notice of the meeting, which shall include the text of the intended amendments, to each voting member of the Executive Committee at least ten (10) calendar days in advance of a regular or special meeting called for that purpose.

Article XI: SEVERABILITY

In the event that any provision of these Bylaws violates or is inconsistent with the Code or the Party Rules, that provision shall be deemed to be of no effect and the remaining provisions of these Bylaws shall not be affected thereby.
